Winkworth’s High Court dispute with its non-executive chairman, Simon Agace, remains unresolved, with both sides now agreeing to mediation in an attempt to reach a settlement.

The listed estate agency franchisor has confirmed that the suspension of legal proceedings has been extended until 23 November 2026.

The latest development follows a further consent order agreed between Winkworth and Agace, which has been sealed by the High Court.

The two sides remain in settlement discussions and have now agreed to enter into mediation.

The proceedings were originally paused on 29 September for one month to allow negotiations to take place.

A hearing scheduled for 5 October remains adjourned, although the parties retain the right to seek its reinstatement.

Undertakings previously given by Agace under a consent order dated 12 August will remain in force until the dispute is resolved or the court orders otherwise.

Independent board review completed

In a separate development, Winkworth has received the full findings of an independent review into its board structure and corporate governance.

The review, conducted by an external advisory firm, examined board composition, independence and governance arrangements.

Winkworth said the final findings were consistent with the initial recommendations reported in September.

The board has agreed to the recommendations in principle, although further discussions are taking place over their implementation.

The company has not disclosed the detailed recommendations or confirmed what changes, if any, will follow.

Background to the dispute

Winkworth launched High Court proceedings against Agace earlier this year over alleged breaches of confidentiality and other duties.

The case concerns alleged breaches of a relationship agreement dating from November 2009, alongside directors’ duties under the Companies Act 2006.

The company also sought interim injunctive relief relating to proposed changes to its board and the handling of confidential information.

The allegations have not been determined by the court.

Agace, a former chief executive of Winkworth, remains the company’s non-executive chairman. His son, Dominic Agace, is the current chief executive.

The latest announcement confirms that settlement discussions are continuing, but no agreement has yet been reached.

Winkworth said it would provide further updates as appropriate.
